Cary, North Carolina-based Ply Gem signed a deal with Fortune Brands Home & Security to acquire Simonton Windows.

The deal is valued at about 10 times Simonton’s earnings before interests, taxes, depreciation and amortization — about $130 million — and is expected to take close in October. Simonton’s annual revenues are more than $300 million.

Ply Gem will also acquire SimEx, a vinyl and PVC foam extrusion manufacturing plant in West Virginia, as part of the deal with Fortune Brands.

Exterior building products manufacturer Ply Gem appointed Eric Spence senior VP sales and marketing for the Ply Gem Windows group.

In this newly created role, Spence is responsible for expanding Ply Gem Windows’ sales and marketing efforts, aligning the two functions under one common structure. He reports to Ply Gem Windows president Art Steinhafel, and is located at the Ply Gem corporate and windows group headquarters in Cary, North Carolina.

Ply Gem Windows will expand its facility in Rocky Mount, Va., adding 200 jobs and upgrading new extrusion tooling, equipment, products and information technology. The Cary, N.C.-based manufacturer of residential and light commercial window and patio doors expects to complete these capital investments at its Rocky Mount plant by the end of 2014.

New hires will include such jobs as unit assemblers, coordinators, value stream leaders, process owners, process engineers, technicians and IT support.

Ply Gem, a manufacturer of windows, siding, and other exterior building products, reported net sales of $239.2 million for its first fiscal quarter of 2012, a 19.5% increase over net sales of $200.1 million during the same period in 2011. 

Earnings during the first quarter were $1.2 million compared with a $7.6 million loss for the first quarter of 2011, after excluding $6.7 million of inventory buyback expense in 2011 associated with a significant new customer.

Ply Gem, a leading manufacturer of siding, windows, doors and other exterior products, reported net sales of $294.5 million for its second fiscal quarter, a 2.4% drop from sales in the same quarter last year.

Excluding $2.7 million of buyback expense associated with a significant new customer win, second-quarter operating earnings were $28.5 million compared with $30.3 million for the second quarter of 2010.
